Synopsys, Inc. has expanded its board from eleven to twelve members with the appointment of Peter A. Shimer as a director effective February 14, 2026. Shimer will serve on the Audit Committee and receive an annual cash retainer of $140,000, along with stock awards valued at $350,000.

Additionally, current board members Luis Borgen and Dr. Ajei Gopal will not be renominated for re-election but will continue until the 2026 Annual Meeting.
