Orizon Acquires Vital Engenharia from Queiroz Galvão in R$ 3 Billion Deal

Orizon has announced the acquisition of Vital Engenharia Ambiental, a waste management company owned by Queiroz Galvão, in a transaction valued at R$ 3 billion. This deal, based on a stock exchange, will result in the issuance of 41,197,230 new shares of Orizon, giving the Queiroz Galvão family and existing shareholders a 60% controlling stake.

The acquisition significantly expands Orizon’s operations, increasing its total to 30 eco-parks across 15 states and boosting its annual waste volume from 8.7 million to 14 million tons. Following the deal, the company anticipates a combined revenue exceeding R$ 3 billion, an EBITDA near R$ 1 billion, and a net profit of over R$ 350 million. The transaction, pending regulatory approval, will also expand Orizon's portfolio in integrated waste management services, including eight concessions, and aims to enhance operational efficiency and strategic growth in biogas and recycling sectors.
