Hennessy Capital Investment Corp. VII has filed a Form S-4 registration statement with the U.S. SEC to facilitate its proposed business combination with ONE Nuclear Energy LLC, announced on October 23, 2025.

The merger, expected to close in the first half of 2026 pending shareholder approval, aims to raise approximately $210 million to support ONE Nuclear's development activities. Upon completion, the combined entity is set to be listed on Nasdaq.
